Spain: the CNMV authorises the TOB for Campofrío by Sigma Alimentos and WH Group

The offer reaches, effectively, the acquisition of 16,614,553 shares of Campofrío Food Group, which represent 16.25% of the stockholders equity. The offered price is €6.90 per share.

The Board of the Stock Market National Commission (CNMV) authorised yesterday the acquisition of shares of Campofrío Food Group, S.A. requested jointly by Sigma Alimentos S.A. de C.V (Grupo Alfa) and WH Group Limited through Sigma & WH Food Europe SLU.

The offer is directed to the 100% of the stockholders equity of Campofrío Food Group, made up by 102,220,823 shares whose negotiation has been accepted in the Stock markets of Madrid and Barcelona and that have been incorporated into the Spanish Stock Market Interconnection System.

47,794,970 shares that belong to Grupo Alfa and 37,811,300 shares that pertain to Grupo WH, and that represent 46.76% and 36.99%, respectively, of the stockholders equity of Campofrío Food Group, have been excluded from the offer. So, 85,606,270 shares (they represent 83.75% of the stockholders equity, and pertain to the groups of the bidders) are immobilised until the end of the offer.

As a consequence, the offer reaches, effectively, the acquisition of 16,614,553 shares of Campofrío Food Group, that represent 16,25% of the stockholders equity.

The offered price is €6.90 per share.
